After the end of the third quarter of fiscal 2003, SCB acquired all of

the outstanding stock of Remtech and announced that it had entered into

a non-binding letter of intent to acquire another government information

technology professional services company. These acquisitions will enable

the Company to increase its outsourcing and consulting business and to

broaden its customer base to include agencies of the federal government.
