Ideas & Associates began operations in 1999 as a Montreal-based provider of Information Technology (IT) outsourcing services and solutions, combining world-class development methodologies with the reduced cost and higher level of security gained by operating from Canada.

The Company was an almost immediate success, generating profits and a positive cash flow in its first seven months of operations, and calendar year 2000 saw a substantial increase in revenues and net income versus its base period. Revenues in 2001 grew 94%, generating a 30% increase in net income - and first quarter results show that these strong trends are continuing in the current year.

During this period the Company carried out approximately 20 major development projects for clients such as AT&T, Hewlett-Packard, Microsoft and Publicis.

There are reportedly several reasons for Ideas & Associates' growth:

Accelerating demand for the Company's core IT outsourcing services, including software development, application management and application maintenance. While major U.S. corporations are eager for the cost savings generated by IT offshore outsourcing, they subsequently experience many management and security problems that arise as the result of moving IT development activities out of North America. The Company's "Offshore In North America" approach eliminates these management and security problems while taking advantage of the lower operating costs and strong pool of technology and multimedia talent in Montreal.

Unique focus on an underserved industry. While carrying out projects for Media & Entertainment industry clients, the Company's management saw that this segment had a wide range of IT needs that are not currently being met. It also realized that it had developed proprietary technologies that could be used to meet certain of these needs. However, management understood that it would need additional capabilities in its technology base, if they were to provide the strongest possible product package to this industry.

The Media & Entertainment industry's IT needs are both broad, yet highly specialized:

  • While "content" has always been the key to this industry, a new need is emerging for content that actively engages its audience, to motivate the desired reaction. Passive content, as in TV advertising and I-net "banner ads", is no longer adequate.
  • Also needed are tools for upgraded management of marketing campaigns, through more effective customer targeting, enhanced tracking and feedback from contacts with potential customers, and more efficient retention of profit-generating customers.
  • New techniques to simplify and reduce the costs inherent in the "individual attention" demanded by the different groups of Media & Entertainment industry customers, ranging from corporate managers to individual consumers.
  • And an ongoing need to maximize the profits generated from each "chunk" of content developed by industry participants.

Clearly, the emerging digital media and technologies offered a number of ways to satisfy these needs. Ideas & Associates realized that the most effective way to gain these technologies was through selective acquisitions of specialized software developers and service providers.

To accomplish this more efficiently, management adopted a new corporate structure, including public ownership, so they could use either cash or stock to make the necessary acquisitions. With the IPO market in weakened condition, on March 7th the Company carried out a reverse merger with FreeSoftWareClub.com (OTCBB:FSWC) so as to become a publicly-owned entity. Management plans to move the Company's stock onto an exchange and off of the OTCBB; this move will require a 1 for 10 reverse split. In addition, the Company's name will be changed to Ideas & Associates.

Since March 7th, the Company's management has made a number of key moves:

  • To enhance their customer communications product offerings, on April 2nd, they acquired Digital Voice Technologies, a profitable supplier of "advanced computer telephony solutions including interactive voice response systems, telco-grade voice portal VoiceXML solutions, web-based telephone systems, Internet telephony gateway systems and call center solutions."
  • Subsequently, the Company has entered into several new distribution agreements and implementation contracts for DVT's products, and has become part of an industry-wide effort to set "open standards" for computer telephony applications.
  • To provide "content that actively engages its audience," on April 4th, they acquired A for Effort, Inc., a US-based developer of interactive marketing and advergaming solutions which "combined with Ideas existing expertise in the interactive gaming arena further solidifies the company's position as a provider of leading edge interactive solutions."
  • To provide "upgraded management of marketing campaigns," the Company acquired the Ethnic Media Network, "the first end to end web-based niche media buying system," and it has also introduced Easy Tearsheets(TM),an internally-developed management tool for newspaper publishers.

Most recently, Ideas & Associates has announced its selection to participate in Quebec's "E-Commerce Zone program" which may generate a substantial level of cash grants for the Company over the next three years.
